The Team

Norton Rose Fulbright Canada LLP is currently seeking a Paralegal to work in the Corporate Services department of our Vancouver Office, reporting to the Manager of Corporate Services.  The Corporate Services department provides corporate legal services to lawyers and their respective clients, which services include: name and corporate searches, incorporation of Federal and Provincial companies, corporations, societies and not-for-profit corporations, registration of extra-provincial entities in British Columbia and other jurisdictions, registration of general partnerships, limited partnerships and proprietorships, annual maintenance requirements in a wide variety of jurisdictions, general corporate changes involving directors, shareholders, offices, and charter documents, due diligence and transactional work, amalgamations, continuations, tax-driven reorganizations and audit enquiries in accordance with the Joint Policy Statement.

The Role

  • Drafting documents to effect the incorporation and organization of BC companies, Federal corporations, BC societies and Federal Not-for-Profit corporations and dissolutions of same
  • Completing extra-provincial registration of companies within BC and in other jurisdictions
  • Maintenance of corporate records, including director and officer changes and basic share transactions
  • Attending to all necessary filings with corporate registries
  • Drafting documents to assist with the annual general meetings of various types of entities
  • Supervision of annual maintenance documentation as prepared by Corporate Services Assistants
  • Due Diligence searches
  • Drafting documents to effect charter amendments of various types of entities
  • Attending to various types of share transactions, continuations, amalgamations, restorations, dividends and tax-driven reorganizations
  • Minute book reviews with recommendations for rectification of deficiencies
  • Assisting our M&A team with document preparation and closing logistics

Qualifications

  • Minimum 3 years’ experience in Corporate Records (or comparable experience)
  • Good knowledge of MS Word, BC Online and ALF Corporate software, experience with Excel is an asset
  • Paralegal Certificate is an asset
  • Strong analytical and problem solving skills together with attention to detail
  • Ability to function well under pressure and handle multiple assignments
  • Positive and willing attitude
  • Excellent oral and written communication skills
  • Ability to work independently and also with other members of the Corporate Services staff and lawyers of the firm
