Description

Owen Bird Law Corporation is a downtown, full-service, mid-sized law firm committed to providing exceptional service and outstanding results for our clients.

We are seeking a full-time intermediate securities paralegal (hybrid role) to work in our Securities department.

In this role, your responsibilities will include:
• team leader for private placements including assisting in the preparation of offering documents, reviewing completed subscription agreements, submitting filings to the applicable stock exchange, assisting in the preparation of closing documents, preparing and filing Forms 45-106F1, and (where applicable) coordinating with U.S. counsel
• assisting in the preparation of documents for public offerings including coordinating the collection of required information from clients and their other advisors, and submitting filings with securities regulators and stock exchanges
• applying for new CUSIP/ISIN numbers
• assisting in the preparation of continuous disclosure documents and SEDAR+ and SEDI filings
• preparing documents related to incentive stock options and other security-based compensation and submitting filings with stock exchanges
• coordinating with clients the planning of annual general meetings and leading the preparation of meeting materials
• working with our corporate services department with respect to corporate filings with the BC Registrar of Companies/Corporations Canada
• preparing file openings, bills, deposits to trust, cheque requisitions, and write-off requests

Here is what you bring to the team:
• minimum of five years of experience as a securities paralegal
• excellent written and verbal communication skills
• strong working experience with SEDAR+ and familiarity with SEDI
• keen aptitude and willingness to learn
• Proficient with Microsoft Office 365 applications and PDF software.

The salary range for this position is $80,000 - $100,000 and is dependent on job-related knowledge, skills, and experience. We offer a competitive salary and benefits package, including an RRSP Matching Program.
