We are seeking a Corporate Paralegal to join our team at MEP Business Counsel (“MEP”). This is an integral role on our team as a critical support for our Corporate practice.

About the Role (General Responsibilities)
- Transactional/M&A Work:
- Formation and governance matters relating to corporations (including not-for-profits) and partnerships
- Assist with preparation of ancillary documentation for corporate and commercial transactions – changes of ownership or management, M&A, joint ventures, amalgamations, and dissolutions
- Review corporate records for rectification needed, draft rectification resolutions
- Perform various BC Online, LTSA, and other due diligence searches
- Editing/formatting various correspondence, agreements, reports, forms, and spreadsheets
- Coordinating the execution and collation of transaction documents
- Handling closing documents and preparing digital closing books
- Corporate Records Work:
Note that primary corporate records work is handled by the Corporate Services Clerk but all Paralegals are expected to support and provide coverage as needed

- Maintain physical and digital company record books and Corporate Services client files
- Assist with the conversion of physical company record books into virtual minute books
- Perform various BC Online, BC Registry, and LTSA searches
- Maintain/update cards and information in ALF
- Format/edit various documents in Word
- Prepare and send out documents for signature from precedents within Alf including but not limited to for annual maintenance, annual consent resolutions, transparency registers, change of address, and change of directors
- Prepare outgoing document packages/record books by courier and by email and via DocuSign
- Communicate with clients by email and phone
- Other Support:
- Ancillary support and time off coverage for other Paralegals and for Corporate Services Clerk
- Assistance with large-scale projects within the Firm
About You (Candidates Requisites)
- Minimum of 3-5 years’ experience as a Paralegal in a similar law firm environment with focused experience in Business Law
- Securities and/or Real Estate Law experience a definite asset
- Completed an accredited Paralegal program
- Ability to handle file work beginning to end with minimal supervision
- Very strong technical and formatting skills with excellent attention to detail
- Experience with legal applications such as Microsoft Office Suite, Adobe, Litera Compare, Cosmolex, iManage, BC Online, DocuSign, MyLTSA, Alf a definite plus
- Excellent organizational skills, ability to organize and prioritize a busy workload
- Tactful, with good judgment when handling confidential and sensitive matters or direct communications with clients
- Strong team player, collaborative, strong communication and interpersonal skills, comfortable working on group projects
- Takes pride in high quality output and high standard for quality of client service, client centered and business minded approach to all work
- Positive “can do” attitude
Reporting
This position reports to the Director of Operations & Talent and a Partner of the firm. In terms of practical day-to-day reporting, this position will take instructions from the Lawyers across the Firm.
What We Offer
The salary range for this position is expected to be $65,000-95,000 depending on education, years of experience, and qualifications. In addition to your salary, we have a bonus program based on excellence in job performance and contributions to the Firm as well as a referral bonus program for employee referrals for new hires. All health benefit coverage premiums are 100% employer paid except LTD.
