Description

Owen Bird Law Corporation is a downtown Vancouver, full-service, mid-sized law firm committed to providing exceptional service and outstanding results for our clients. 

We are seeking a full-time securities paralegal. In this role, you will provide dedicated paralegal support to two lawyers while handling key administrative tasks that help manage and organize their practices effectively.

 In this role, your responsibilities will include: 

  • team leader for private placements including assisting in the preparation of offering documents, reviewing completed subscription agreements for deficiencies, submitting filings to the applicable stock exchange, assisting in the preparation of closing documents, preparing and filing Forms 45-106F1, and (where applicable) coordinating with U.S. counsel 
  • assisting in the preparation of documents for public offerings including coordinating the collection of required information from clients and their other advisors, and submitting filings with securities regulators and stock exchanges 
  • applying for new CUSIP/ISIN numbers 
  • assisting in the preparation of continuous disclosure documents
  • attending to filings on SEDAR+
  • preparing documents related to incentive stock options and other security-based compensation and submitting filings with stock exchanges 
  • coordinating with clients the planning of annual general meetings and leading the preparation of meeting materials 
  • working with our corporate services department with respect to corporate filings with the BC Registrar of Companies/Corporations Canada 
  • Administrative tasks such as conflict searches, file openings, billing, deposits to trust, cheque requisitions and write-off requests 

Here is what you bring to the team: 

  • minimum of two years of experience as a securities paralegal  
  • excellent written and verbal communication skills 
  • strong working experience with SEDAR+ and familiarity with SEDI 
  • strong organizational skills and attention to detail and the ability to work independently
  • keen aptitude and willingness to learn 

The salary range for this position is $70,000 - $90,000 and is dependent on job-related knowledge, skills, and experience. We offer a comprehensive package of benefits, including an RRSP Matching Program, along with flexibility to work remotely part of the week.
