THE OPPORTUNITY

As a full-time Corporate Paralegal with our growing, forward-thinking boutique firm in Burnaby, you will play a key role in supporting the lawyers in our corporate law practice to ensure that work is executed successfully, with excellence, and in a timely manner. This position would best suit a self-motivated, adaptable, and independent paralegal who is looking to add their expertise to a positive and collaborative environment.

The successful candidate will work from our Burnaby office located near beautiful Deer Lake Park. Regular working hours are Monday to Friday from 9:00am – 5:00pm. This position is also eligible for flexible hours and hybrid remote work.

REQUIREMENTS

  • Minimum 5+ years of relevant experience.
  • Demonstrated ability to manage a broad range of tasks independently.
  • Intermediate to advanced computer skills with the ability to adapt to and master new computer programs and processes.
  • Experience with Adobe, BC Online, and MS Office 365.
  • Experience with Appara, ALF, Asana, Doxsera, and LEAP is an asset.
  • Related post-secondary education is an asset, i.e. Paralegal Certificate or Diploma.

PRIMARY DUTIES AND REPONSIBLITIES

  • Manage corporate annual maintenance for BC and extra-provincial entities, including preparing annual reports, resolutions, and filings.
  • Maintain accurate and up-to-date corporate records, including minute books, registers, and electronic filing systems.
  • Prepare and file documentation for incorporations, including name reservations, incorporation applications, organizational documents, and share structure setup.
  • Coordinate and complete corporate continuations, including inbound and outbound continuations across jurisdictions.
  • Assist with and process amalgamations, including preparation of amalgamation agreements, articles, resolutions, and required filings.
  • Prepare and file documentation for dissolutions and restorations, including related resolutions, applications, and supporting materials.
  • Draft and file routine corporate changes, including name changes, changes of directors and/or officers, changes to registered office and records office addresses, and updates to corporate registers and minute books.
  • Support corporate reorganizations, including preparing related resolutions, share exchanges, and transaction documents as required.
  • Prepare and coordinate simple corporate transactions, including dividends, resolutions, redemptions, and cancellations, share transfers and issuance documentation, and updates to share registers and securities records.
  • Assist with asset and share purchase/sale transactions, including preparing and organizing closing agendas, closing documents, schedules, and deliverables.
  • Prepare and maintain closing books and ensure all post-closing corporate records and filings are completed accurately and on time.
  • Conduct due diligence searches, including corporate registry, PPSA, and other relevant searches as required.
  • Liaise with clients, lawyers, government registries, and third-party service providers to ensure timely completion of corporate filings and transaction requirements.
  • Assist with other corporate and transactional support tasks as required to meet team and client needs.

ADDITIONAL DUTIES

  • Perform general administrative tasks related to the above duties.
  • Maintain accurate and up-to-date file notes, time records (if applicable), and billing support documentation.
  • Ensure files are handled with a high level of confidentiality, professionalism, and attention to detail.
  • Communicate with clients in a professional and personable manner, including providing updates and requesting information as needed.
  • Assist with general practice support duties including opening/closing files, conflict checks, document management, and correspondence preparation.
  • Provide general support to the firm on occasion in instances of staff shortage.
