We are currently seeking a full-time corporate commercial Paralegal with a minimum of 3 years of experience to support a busy solicitor’s practice.

In this role, you’ll assist a corporate-commercial partner and associate with a wide range of business matters and transactions – including M&A, private, and commercial financing (for lenders and borrowers), contract drafting, and more. Some files are routine; others are unique.

You’ll be involved at every stage of a transaction, from the initial client meeting to post-closing wrap-up. This is a hands-on role within a close-knit team that values collaboration, efficiency, and results.

This role is ideal for someone detail-oriented, thrives on variety, and enjoys seeing deals through from start to finish.

About the role:

Duties include:

  • Handling complex business acquisitions and divestitures (share, asset, and hybrid transactions)
  • Assisting with commercial lending/borrowing files ranging from simple to complex and some second mortgage transactions
  • Drafting and review of various contracts, shareholders’ agreements, commercial leases, and other business contracts
  • Preparing transaction closing documents
  • Managing multiple files and closings for various transactions, preparing reporting books, invoices, etc.
  • Managing lawyer calendars, scheduling meetings, and coordinating workflow to ensure the file flows smoothly

About you:

  • Paralegal Certificate from an accredited post-secondary institution
  • At least 3 years of direct working experience with a focus on corporate commercial, and commercial lending
  • Familiarity with LTO and PPR documents, registrations, and procedures
  • Strong organizational skills and a keen eye for detail
  • Excellent verbal and written communication skills
  • Ability to exercise good judgement and maintain professionalism
  • A desire to be involved in the entire transaction from start to finish, to work independently while maintaining extensive contact with the partner and client, and to handle high volume in a fast-paced environment
  • Collaborative and committed – willing to stay late when needed to help close the deal
