How You’ll Help Us Better Serve Our Clients

Due to continued growth, we are seeking an intermediate to senior level Associate to join our Private Company M&A group. The ideal candidate will have 4-5 years of experience in private company M&A and corporate commercial practice. 

Our Private Company M&A practice provides advice on mergers, acquisitions, corporate reorganizations, and other significant corporate transactions. We work with private companies across various industries, with a particularly strong track record in mid-market M&A transactions ranging from $10 million to $200 million. We also provide general business law support as external counsel to local, national, and international businesses.

What You’ll Be Doing

  • Managing and running private company transactions from start to finish with partner oversight as needed;
  • Leading transaction files, timelines, and closing processes across multiple concurrent matters;
  • Drafting, reviewing, and negotiating: LOIs, NDAs, Asset Purchase Agreements, Share Purchase Agreements, Shareholder agreements, Commercial agreements, and ancillary transaction documentation;
  • Coordinating due diligence processes and preparing due diligence summaries;
  • Preparing closing documentation, closing agendas, and post-closing deliverables;
  • Managing undertakings, trust conditions, transaction funds flow, and trust account matters;
  • Liaising directly with clients, opposing counsel, lenders, accountants, and other advisors
  • Advising clients on general corporate and commercial matters, including corporate governance, corporate reorganizations, business structuring, and commercial contracting;
  • Supporting financing transactions, including bank financing and security documentation;
  • Collaborating with lawyers across practice groups, including tax, real estate, employment, litigation, and intellectual property;
  • Mentoring junior associates, students, and paralegals where appropriate; and
  • Participating in business development, networking, and client relationship initiatives.

How You’ll Be a Great Fit for This Role

  • 4–5 years of post-call experience in corporate/commercial law, with a strong focus on private company M&A;
  • A client-centered approach, with excellent interpersonal and communication skills, both written and oral;
  • Experience independently managing transactions from commencement through closing;
  • Strong drafting and negotiation skills;
  • Excellent organizational and project management abilities;
  • A clear understanding of transactional undertakings, trust conditions, and handling transaction funds;
  • Experience preparing and negotiating ancillary transaction documentation;
  • Strong attention to detail and sound commercial judgment;
  • Ability to manage competing priorities in a fast-paced environment; and
  • A collaborative and team-oriented approach to practice.

  • Commercial leasing
  • Intellectual property matters
  • Bank financing and secured lending transactions
  • General employment law considerations in transactional contexts
  • Exposure to tax-driven reorganizations and corporate structuring
