Blakes is currently recruiting for an Intermediate Corporate Services Paralegal to join our Corporate Services Department. Reporting to the Manager of Corporate Services, this role requires a candidate who will provide professional, efficient, and prompt service to our lawyers and clients.
Key Responsibilities:
- Solid understanding of the Business Corporations Act (BC) and Canada Business Corporations Act
- Attend to filings with BC Registrar of Companies and Corporations Canada
- Preparation of incorporation and organization documents for both BC and federal entities
- Preparation of BC transparency registers and federal ISC registers
- Preparation of partnerships, limited partnerships, business names and extra-provincial registrations across Canada
- Preparation of voluntary dissolution documents
- Preparation of documents for BC societies and federal not-for-profit corporations
- Conduct minute book reviews and prepare documents to correct minute book deficiencies
- Prepare documents to change the registered and records office, effect name changes, change share capital, issue and transfer shares, appoint and remove directors and officers and other basic miscellaneous resolutions
- Assist with preparation of annual consent resolutions for BC and Federal entities, as necessary
- Conduct corporate searches in all jurisdictions across Canada
- Liaise with the law clerks in other Blakes offices regarding corporate matters
- Assist with training of junior paralegals
- Provide additional support to the corporate team as required
Required Skills:
- Graduate of a recognized paralegal program with minimum 5+ years law firm or related experience
- Experience with ALF and BC Online, and Corporations Canada
- Good MS Word skills
- Excellent organizational skills and strong attention to detail with the ability to analyze documents for accuracy
- Ability to multi-task, establish priorities and work effectively under pressure and tight deadlines
- Strong communication and interpersonal skills with the ability to listen effectively and respond appropriately
- Ability to work well both independently and as a contributing member of a team, managing work and priorities successfully in each setting
- Reliable, responsible, self-motivated and able to take initiative or be proactive where appropriate
