THE ROLE
The successful candidate will work with our experienced lawyers and other paralegals on a range of corporate law matters and mergers and acquisitions (M&A) transactions involving private companies.
KEY RESPONSIBILITIES
- Working on large and small private company M&A transactions, including drafting closing agendas, closing documents and assisting in project managing the signing of agreements and closing of transactions.
- Working on corporate matters including preparing corporate resolutions and other documents in connection with incorporations (BC and CBCA), post-incorporation organization, extra-provincial registrations, capital alterations, name changes, continuations, dissolutions, amalgamations (long-form and short-form), restorations, share allotments, redemptions, transfers and transmissions, dividend declarations, changes of directors and officers and other corporate transactions.
- Working on corporate reorganizations, including drafting share exchange agreements, rollover agreements, amalgamation agreements and all related documentation.
- Reviewing, identifying deficiencies in, and updating corporate records and preparing rectification resolutions and other rectification documents for BC and CBCA companies.
- Conducting and reporting on corporate searches, Personal Property Registry registrations and other due diligence searches.
KEY SKILLS AND QUALIFICATIONS
- Minimum 5+ years’ experience as a corporate paralegal, with experience leading transactions.
- Strong working knowledge of BC and Federal corporate statutes, registries, and filing systems.
- Completion of a Paralegal Program or relevant experience in a law firm or in-house legal department is an asset.
- Proficient with Microsoft Office Suite.
- Knowledge of Appara, ALF, iManage, Closing Folders, DocuSign and/or Soluno preferred.
- Experience with corporate filing requirements in Alberta is an asset.
- Ability to work individually and prioritize and manage multiple assignments.
- A desire to grow professionally and be challenged.
- Excellent organizational skills and keen attention to detail.
- Excellent inter-personal skills and ability to work well in a team setting.
