Who We Are Looking For
Boughton Law is currently recruiting for a junior to intermediate Paralegal or senior LAA with experience in Securities. As one of our Securities Paralegals you will play a key role managing legal and administrative aspects of the practice. You will be working closely with all members of the team to deliver exceptional legal services to our clients. This is a fantastic opportunity to work on diverse transactions while alongside a collaborative, fun, talented group of people.
Job Duties & Responsibilities
- Prepare general corporate and securities documents which include private placements, stock options, AGM's, prospectus, share exchange agreements, escrow agreements, reverse take-overs and others
- SEDAR+, SEDI and BC Registry filings for reporting companies
- Assist with completing and filing forms with TSX, TSXV, CSE and the securities commissions in each province and territory as required
- Draft continuous disclosure documents (i.e. news releases, material change reports etc.)
- Complete PPSA searches and registrations
- Assist with preparing and filing of reports of exempt distribution
- Assist with preparing and filing of interim and annual financial statements
- Liaise with legal assistants, paralegals and other lawyers, and clients on file progress

Qualifications
- Graduate of a Legal Administrative Assistant Program or Paralegal Program
- Minimum 3-5 years' of experience as a Hybrid LAA or Paralegal within Securities
- Proficient in Microsoft Office Applications and familiarity with Excel
- Excellent English, oral and written skills
- Excellent organizational skills, with the ability to work well under pressure
- Able to manage multiple priorities while paying attention to details
- Able to communicate with clients, lawyers and staff
- Confident and dependable, with strong initiative and the ability to work both independently and in a team oriented atmosphere
Salary
The salary range for this role is $65,000 to $105,000, which reflects the firm’s reasonable estimate of expected compensation for this role at the time of posting. Actual compensation will depend on a variety of factors, including the candidate’s relevant experience and qualifications.
