We are seeking an experienced intermediate Corporate Paralegal to join our Corporate Services Department in our Vancouver office supporting legal professionals both locally and nationally. This position is offered as a maternity leave contract through July 2027. Subject to organizational requirements, the role may evolve into a permanent opportunity.

Major Responsibilities and Duties:

  • reviewing, analyzing, summarizing, updating and maintaining basic to complex minute books and corporate records including electronic records database
  • performing due diligence of minute books and identifying deficiencies and material matters, preparing reports recommending manner of rectifying deficiencies; preparing any necessary documents required to comply with governing statutes
  • preparing corporate legal documents such as articles of incorporation, amalgamations, amendments, dissolutions, by-laws, share provisions, share certificates, extra-provincial registrations, general and limited partnerships, business names and corporate records
  • preparing resolutions for routine matters such as annual resolutions, changes to directors, officers, registered office address and corporate names
  • registering, renewing, and cancelling business names and partnerships; gathering information; preparing and filing documents and reports accordingly
  • preparing documents with and without firm precedents according to instructions and information provided by the legal professionals and information gathered through own research (examples include resolutions, minutes, and correspondence)
  • reviewing documents prepared by legal professionals for general compliance with the related legislation (e.g. BCBCA, CBCA)
  • analyzing and preparing required principal and ancillary documents using precedents, statutes, and other research materials
  • organizing transactions and attending closings to oversee the execution of documents
  • conducting corporate searches
  • replying to internal and client inquiries
  • performing other related duties as may be assigned from time to time

Position Requirements 

Education and Experience

Paralegal Certificate or Diploma plus at least 5 years of law-firm experience in corporate law practice. 

Knowledge and Skills

  • thorough understanding of the BC Business Corporations Act, Canada Business Corporations Act, and other relevant legislation, legal terminology, forms and documents related to corporations, partnerships, joint ventures, not-for-profits, etc.
  • knowledge of legal procedures and practices involved in drafting, processing and filing a variety of basic and complex documents
  • high technology proficiency including advanced MS Office, ALF, iManage and other relevant programs
  • ability to prioritize and organize work and manage multiple tasks ensuring deadlines are met
  • ability to take initiative, work independently, seek out guidance when appropriate and exercise judgement
  • willingness to learn and accept challenges with dedication to providing superior internal and external client service

Compensation:  

The typical hiring salary range for this position in British Columbia is $80,000 - $105,000 annually; the base pay offered may vary depending on job-related knowledge, skills, experience, internal and market equity.  

For the safety of firm members and visitors, Osler is committed to complying with the recommendations of public health authorities, including with respect to adopting mandatory vaccination policies.  Employment at Osler is therefore conditional on complying with any vaccination policies that Osler may adopt from time to time in response to the recommendations of public health authorities. 

We are currently working in a hybrid work arrangement, which includes a requirement to work primarily in the office and flexibility to work remotely up to 2 days per week.
