The Opportunity

Ratcliff LLP is currently seeking an Intermediate Corporate Services Paralegal to join our Corporate Services Department. This is a permanent position in our North Vancouver office.  The hiring salary range for this role is $80,000 - $92,000 annually.  The final salary determination within the range will be based on the candidate’s knowledge, expertise and years of Paralegal experience, as well as the BCLMA compensation survey.  

Reporting to the department supervisor, the Corporate Paralegal will work directly with other Corporate Services team members and lawyers on various transactions including:

  • Preparing documents for BC and Federal entities, including incorporations/organizations (including professional entities), name changes, amalgamations, restorations, dissolutions, setting up transparency registers and other related documents
  • Preparing documents for BC Societies, including incorporations/amendments and maintenance
  • Preparing extra provincial registrations - BC or other jurisdictions
  • Conducting minute book reviews and preparing resolutions to correct deficiencies
  • Managing document share transfers, allotments, redemptions, repurchases, transmissions, declaration of dividends/bonuses
  • Assisting with corporate reorganizations/rollovers/tax driven transactions/complex transactions
  • Preparing documents for complex purchase and sale transactions
  • Conducting due diligence searches
  • Performing other related duties and special projects as assigned

 Candidate Requirements

We are excited to speak with applicants who have the following background, skills and experience:

  • a paralegal diploma or degree from a recognized institution and at least 3 years of experience as a paralegal in a law firm Corporate Services Department
  • experience working with ALF is a strong asset
  • a solid knowledge of MS Office
  • experience working with NetDocuments and Esilaw would be an asset
  • excellent written and oral communication skills
  • a desire to grow and advance in your role as an integral member of the Ratcliff Corporate Services team
  • ability to take initiative, work independently
  • strong analytical and problem-solving abilities
  • strong administration and organizational skills
  • ability to prioritize work and meet deadlines
  • a high level of professionalism while working closely with lawyers, staff and clients
