Who We Are Looking For
We act for many non-profit organizations and charitable organizations, at all stages of their existence. Most of these organizations are also corporations, and so require corporate maintenance support and legal services. These organizations also enter into complex real estate, financing, and funding arrangements and require legal support to help obtain financial support for their activities. Below are some of the responsibilities and job duties of the role:
Key Responsibilities
Corporate Services (Primarily Charity and Non-Profit Organizations) (60-70%)
- Preparing corporate documents for BC societies and federal not-for-profit corporations including incorporations/organizations, name changes, constitution and bylaw alterations, amalgamations, continuations, restorations, dissolutions, changes to directors and changes to registered and records offices.
- Drafting documents and supporting lawyers with applications for charitable registration.
- Submitting updates to Canada Revenue Agency on corporate and other changes to registered charities.
- Preparing corporate documents for BC and federally incorporated for-profit companies including incorporations/organizations, name changes, dividends (ordinary capital and eligible), share alterations, amalgamations, continuations, restorations, dissolutions, share transactions, reorganizations, changes to directors and officers and changes to registered and records offices, among other transactions
- Assisting with document preparation and closings for complex business sale and acquisition transactions
- Conducting corporate and other due diligence searches.
- Updating and maintaining corporate records books and ensuring documents comply with the applicable legislation and are entered into our database. Conducting record book reviews and preparing documents to correct any minute book deficiencies.
Commercial Real Estate and Financing Transactions (Primarily Charity and Non-Profit Organizations) (30-40%)
- Conducting and reviewing due diligence searches, including Land Title and BC Online searches.
- Drafting legal document for commercial real properties sales, purchases, financing, and refinancing.
- Assisting with commercial real estate and financing transactions through to closing.
- Preparing and/or registering property development documents including Subdivision, Consolidation and Right-of-Way Plans and Applications, Ground Leases, Municipal Covenants, Easements, Rights-of-Ways and other related notices and development charges.
- Liaising with lawyers, support staff and external parties involved with commercial real estate and financing transactions.
Qualifications
- Minimum of 5 years’ experience in a paralegal or legal assistant position.
- High degree of proficiency with MS Office applications.
- Experience with corporate registry filings.
- Strong understanding of the British Columbia Societies Act and Business Corporations Act.
- Familiarity and experience with Land Title Office filing and registration requirements.
- Familiarity with BC Housing and CMHC financing documents.
- High degree of accuracy and exceptional attention to detail.
- Excellent organizational and time management skills required to prioritize a high volume of tasks with competing priorities.
- Excellent oral and written communication and people skills.
- Ability to multi-task and manage multiple files.
- Proficient using BC Online, BC Registries and Online Services.
- Experience in the Charity and Non-Profit Sector is preferred.
