We are currently seeking a Senior Corporate Paralegal to join our Corporate Services department in our downtown office. Duties & Responsibilities

  • Assisting lawyers with drafting for tax-driven transactions, including the preparation of legal transaction documents for section 85 rollovers and section 86/51 exchanges; and the preparation of closing agendas and document lists
  • Drafting detailed reporting letters on the completion of transactions and closing books
  • Preparing corporate documents for transactions such as:
    • incorporations and organizations of BC, Federal, and Society entities,
    • amalgamations,
    • alterations,
    • share allotments and transfers,
    • redemptions,
    • dividends,
    • name changes,
    • director/officer changes,
    • changes of registered and records office, and
    • assisting in the production of other corporate transactions as needed.
  • Preparing filing creation and organization documents for limited partnerships
  • Conducting name BC reservations with BC Registry and Online Services
  • Conducting Nuans reservations
  • Maintaining Minutebox database and precedent systems including creating new cards for incoming record books
  • Recording book reviews and drafting deficiency memos
  • Scanning records and establishing virtual record books
  • Conducting searches on:
    • BC Online,
    • Corporations Canada, and
    • Land Title
  • Drafting routine correspondence with clients, lawyers, and department staff
  • Performing conflict searches
  • Assisting with audit enquiry responses
  • Sending minute books out for registered and records office changes
  • Maintaining BC, Federal, and Societies filings annually
  • Liaising with Corporate Services paralegals with affiliated LAW law firms
  • Mentoring and guiding junior staff on best practices, file management, and interaction with lawyers and clients
  • Providing quality control over corporate records, annual maintenance, and statutory filings
  • Monitoring corporate legislative changes, policies, and procedures of BC Registrar of Companies
  • Assisting with developing and updating precedents and procedures to enhance efficiency across the team
  • Researching and carrying out corporate filings in other Canadian provinces if necessary
  • Managing Smartsheet databases for various projects

Required & Preferred Qualifications

  • Minimum 5+ years’ experience as a corporate paralegal, with experience leading transactions.
  • Strong working knowledge of BC and Federal corporate statutes, registries, and filing systems.
  • Experience mentoring and/or supervising junior staff is preferred.
  • Experience with corporate filing requirements in Alberta and/or Ontario is preferred.

  • Job type: Full-time, 8-hour shifts, Monday – Friday
  • In person
  • Salary range: $85,000 - $120,000 annually, depending on job-related knowledge, skills, experience, and internal/market equity.
