North Shore Law is currently seeking a corporate Paralegal with 5 – 8 years of experience to support a busy solicitor’s practice. In this position the successful candidate will work on a team with a senior paralegal and an LAA to support a partner and associate on a variety of transactions. Preference will be given to a candidate with experience running corporate M&A transactions and independently managing electronic minute books.

Other Duties Include:

Preparation of documents and filing (BC Registry Services and Corporations Canada), for various corporate transactions including:
• Incorporations
• Annual maintenance and minute book management with the assistance of an LAA
• Change of directors and officers
• Dividends – cash, capital, eligible, stock
• Share allotments and redemptions
• Share transfers
• Alterations and drafting articles
• Transfer of registered and records office and minute book reviews
• Change of company name
• Dissolutions
M&A transactional work including conducting due diligence searches – corporate, PPSA, court, land title, various due diligence; drafting ancillary closing documents; reporting; BF management; and correspondence
Drafting routine correspondence and documentation
Other general administrative tasks as required

Qualifications

• Graduate of a recognized paralegal program
• Minimum 5 years’ experience as a Paralegal working in corporate law
• Experience using ALF
• Excellent spoken English, written composition, spelling, grammar, and editing skills
• Multitasking skills and the ability to thrive in a fast-paced environment.
• Exceptional organizational and document management skills, with outstanding attention to detail
• Ability to work both independently and collaboratively as part of a team

This is an in-office position based on regular business hours; however, on occasion overtime may be required.

While compensation is commensurate with experience, the base annual salary range for candidates with the required experience is expected to be between $75,000 - $90,000.
