Blakes is currently recruiting for a Senior Corporate Services Paralegal to join our Corporate Services Department. Reporting to the Manager of Corporate Services, this role requires a candidate who will provide professional, efficient, and prompt service to our lawyers and clients.
Key Responsibilities:
- Meet with responsible lawyers to review, determine and confirm transaction requirements and delegate amongst team accordingly
- Provide guidance and advice to lawyers regarding the Business Corporations Act (BC) and the Canada Business Corporations
- Keeping up to date with legislative updates and amendments
- Taking initiative to lead and manage transactions
- Preparation of documents for BC companies and federal corporations, including incorporations and organizations, continuations - both importing and exporting, amalgamations, dissolutions, reorganizations, restorations and drafting of special rights and restrictions attached to shares
- Preparation of BC transparency registers and federal ISC registers
- Preparation of legal documents relating to all stages of complex corporate transactions, including section 85 rollovers, section 86 share exchanges and private mergers and acquisitions
- Preparation of partnerships, limited partnerships, business names and extra-provincial registrations across Canada
- Preparation of voluntary dissolutions and company wind-up documents
- Conduct minute book reviews and prepare documents to correct minute book deficiencies
- Prepare documents to change the registered and records office, effect name changes, change share capital, issue and transfer shares, appoint and remove directors and officers and other basic miscellaneous resolutions
- Attend to filings with BC Registrar of Companies and Corporations Canada
- Liaise with the law clerks in other Blakes offices regarding corporate matters
- Provide mentorship and training to other team members
- Provide additional support to the corporate team as required
Required Skills:
- Graduate of a recognized paralegal program with 10 years law firm or related experience
- Experience with ALF, BC Online and Corporations Canada
- Good MS Word skills
- Excellent organizational skills and strong attention to detail with the ability to analyze documents for accuracy
- Ability to multi-task, establish priorities and work effectively under pressure and tight deadlines
- Strong communication and interpersonal skills with the ability to listen effectively and respond appropriately
- Ability to work well both independently and as a contributing member of a team, managing work and priorities successfully in each setting
- Reliable, responsible, self-motivated and able to take initiative or be proactive where appropriate
